Terms and Conditions

  1. Introduction
    • These Terms and Conditions ("Terms") govern the use of Adaptify Chatbot and Adaptify SEO ("Adaptify") operated by ADAPTIFY LTD. ("Company" or "We"), accessible at https://adaptify.ai/.
    • By using Adaptify, you ("User" or "You") agree to be bound by these Terms. If you do not agree with these Terms, you must not use Adaptify.
    • The Company reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Marketplace constitutes acceptance of any changes to the Terms.
  2. Account Registration
    • To access and use Adaptify, you may be required to create an account ("Account"). You agree to provide accurate, current, and complete information when creating your Account.
    • You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify the Company immediately of any unauthorized use of your Account.
    • The Company reserves the right to suspend or terminate your Account for any reason, including but not limited to breach of these Terms.
  3. License
    • The Company grants you a limited, non-exclusive, non-transferable, and revocable license to access and use Adaptify subject to your compliance with these Terms.
  4. Content and Ownership
    • The Marketplace allows users to create, sell, and purchase ChatGPT prompt templates ("Templates"). All Templates are the property of their respective creators and are protected by copyright laws. Adaptify allows you to generate text, images, and other content. This content is generated by using various sources, and is not owned by Adaptify. Adaptify is not responsible for any content generated.
    • The OpenAI and chatGPT logo and name displayed on this website is the property of OpenAI and its respective owners. We do not claim any ownership or affiliation with OpenAI, and the logo and name is used for informational purposes only.
    • By uploading or submitting content to Adaptify, you represent and warrant that you have the necessary rights to do so and that Adaptify does not infringe on any third-party rights, including but not limited to copyright, trademark, and privacy rights.
    • The Company does not claim ownership of any generated content. However, any content hosted by Adaptify including generated content can be stored, modified, adapted, edited and displayed for the purpose of providing services to the end user which is you.

  5. Transactions

    5.1. Content publication and disputes

    The Company provides tools for creating content. The Company is not responsible for any disputes, claims, or issues that may arise from the content being published on your own website. You agree to resolve any such disputes directly with the other party.

    5.2. 30-day paid-trial money-back guarantee

    Where expressly offered, our 30-day paid trial includes a money-back guarantee. To qualify, you must:

    • Attend your setup calls with the Adaptify team.
    • Complete the onboarding checklist for at least three websites within the first 14 days, including the required link-building, content and white-label setup.
    • Keep those websites configured and the relevant services enabled for at least 14 consecutive days during the trial.

    The applicable onboarding checklist and requirements will be disclosed before purchase.

    If you meet these requirements and remain dissatisfied for any reason, email support@adaptify.ai requesting cancellation and a refund within 30 calendar days of your initial trial payment. We will refund the fees paid for that trial in full.

    This guarantee applies only to the initial paid trial and takes precedence over our standard refund policy.

    5.3. Standard refund policy

    Except under the paid-trial guarantee, as required by applicable law, or as otherwise agreed in writing, payments are non-refundable. The Company may grant refunds at its discretion.

    Refund requests must be submitted to support@adaptify.ai within 30 calendar days of the relevant charge. Any discretionary refund is limited to one month's subscription fees for the affected services and does not cover earlier subscription months.

    For quarterly or annual subscriptions, the refund limit is the subscription fee actually paid divided by the number of months covered by that payment, including any agreed discounts.

    Nothing in this section limits rights or remedies that cannot lawfully be excluded.

    5.4. Discounts and promotional pricing

    Discounts and promotional pricing are offered at the Company's discretion and apply only to the products, services, quantities, billing terms and duration specified in the offer.

    Unless expressly agreed in writing, an existing discount does not automatically apply to additional websites, products, services, add-ons or upgrades. Agreed discounts will be honoured for their stated scope and duration.

  6. Prohibited Activities
    • Users may not engage in any activities that violate applicable laws, regulations, or these Terms. Prohibited activities include, but are not limited to:
      • Infringing on the rights of any third party, including copyright, trademark, and privacy rights.
      • Using Adaptify for illegal purposes or to promote illegal activities.
      • Creating any harmful, threatening, abusive, harassing, or otherwise objectionable content.
      • Using Adaptify to harass, threaten, or defame any person or entity.
      • Impersonating any person or entity or misrepresenting your affiliation with any person or entity.
  7. Limitation of Liability
    • To the maximum extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use Adaptify, any transactions or disputes between users, or any other matter related to Adaptify.
  8. Indemnification
    • You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of Adaptify, your violation of these Terms, your infringement of any third party's rights, or any disputes between you and another user of the Marketplace.
  9. Governing Law and Jurisdiction
    • These Terms and any disputes arising out of or related to Adaptify shall be governed by and construed in accordance with the laws of Great Britain and the United States of America, without regard to its conflict of law principles.
    • You agree to submit to the exclusive jurisdiction of the courts located in Great Britain and the United States of America for the resolution of any disputes arising out of or related to these Terms or your use of Adaptify.
  10. Privacy Policy
    • The Company's Privacy Policy, which is available at , describes how we collect, use, and protect your personal information. By using Adaptify, you agree to the terms of the Privacy Policy.
  11. Acceptable Use Policy
    • Adaptify's Services are subject to an Acceptable Use Policy to ensure fair and reasonable use of its resources among all Users. Users must not misuse the Services by excessively accessing, consuming or generating Content that, at Adaptify's sole discretion, is deemed to negatively impact the operation, performance, availability or quality of the Services for other Users.
    • Misuse includes, but is not limited to automated scripting of the Services, use of the Services in an unlawful manner, or any activity that interferes with or disrupts the Services.
    • Should Adaptify determine, at its sole discretion, that a User is abusing the system or violating this Acceptable Use Policy, Adaptify reserves the right to throttle, limit, suspend or terminate the User's access to the Services, or take any other action deemed necessary to maintain the integrity and quality of the Services. Adaptify will endeavor to provide prior notice of such actions where reasonably practicable.
  12. Miscellaneous
    • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
    • The failure of the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
    • These Terms constitute the entire agreement between you and the Company with respect to the Marketplace and supersede any prior agreements, communications, or understandings between you and the Company.
